Welcome to HYPush.io, operated by HYPush Technologies Company LTD (“HYPush”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, innovation platform, and professional technology services.
By accessing or using our services, you agree to be legally bound by these Terms.
1. Our Services
HYPush provides advanced technology solutions including but not limited to:
Datacenter & Hosting Infrastructure
Artificial Intelligence & Automation Solutions
Web & Application Development
Network Architecture & Cybersecurity Services
Certain services may require a Statement of Work (SOW), Service Level Agreement (SLA), or Custom Contract, which will define project scope, deliverables, timelines, and pricing.
If a conflict exists between these Terms and a signed agreement, the signed agreement shall prevail.
2. Payments and Billing
Quotes
All project quotations are valid for 30 days unless otherwise specified.
Milestone Payments
Large projects such as software development, AI systems, and infrastructure deployments are billed based on milestone phases.
Work on subsequent phases will not begin until the previous milestone has been paid in full.
Currency
Unless otherwise stated, all payments are processed in USD or UGX.
Clients are responsible for any banking, transfer, or currency conversion fees.
3. Refund & Cancellation Policy
Due to the nature of technology services involving dedicated labor, research, and infrastructure provisioning, the following policy applies:
Project Deposits
All initial project deposits are non-refundable.
These deposits cover administrative setup, research, and project allocation.
Milestone Payments
Once a milestone has been approved and paid for, that payment is final and non-refundable.
Revision Window
Clients must report any issues with deliverables within 7 days of delivery.
HYPush will work in good faith to resolve issues within the scope of the original agreement.
Hosting and Subscriptions
Hosting, cloud services, and software subscriptions are non-refundable once a billing cycle has started.
4. Intellectual Property
Platform Ownership
All code, infrastructure design, content, trademarks, and intellectual property on HYPush.io remain the exclusive property of HYPush.
Client Project Ownership
Upon full and final payment, ownership of the custom-developed software, code, or designs created specifically for the client will be transferred to the client unless otherwise stated in the project agreement.
HYPush retains ownership of:
Internal frameworks
Development libraries
Infrastructure tools
Reusable system components
5. Client Responsibilities
Clients agree to:
Provide required content, assets, and information in a timely manner.
Deliver feedback and approvals necessary to keep the project progressing.
Ensure that all materials provided (images, text, data, media) do not violate third-party intellectual property rights.
Maintain the confidentiality and security of credentials provided for systems or hosting environments.
Failure to provide required information may delay project timelines.
6. Acceptable Use
Clients may not use HYPush infrastructure or services to:
Host illegal content
Conduct cyberattacks, malware distribution, or phishing
Launch denial-of-service attacks
Attempt unauthorized penetration testing of our infrastructure
Reverse-engineer proprietary systems or AI models
Violation may result in immediate suspension or termination of services.
7. Limitation of Liability
HYPush strives to deliver state-of-the-art technology solutions, but services are provided “as available” and “as is.”
We do not guarantee:
Continuous uptime
Error-free operation
Compatibility with third-party systems not specified in the agreement
HYPush shall not be liable for:
Loss of profits
Business interruption
Data loss
Indirect or consequential damages
Total liability shall not exceed the amount paid for the specific service giving rise to the claim.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.
HYPush is willing to execute a separate Non-Disclosure Agreement (NDA) for projects requiring additional confidentiality protection.
9. Termination
HYPush reserves the right to suspend or terminate services if:
Payment obligations are not met
Clients violate acceptable use policies
Clients engage in fraudulent or illegal activity
Upon termination, outstanding invoices become immediately payable.
10. Force Majeure
HYPush shall not be liable for delays or failures caused by events beyond our reasonable control, including:
Natural disasters
Power or internet outages
Government actions
Cybersecurity incidents
Infrastructure failures
11. Governing Law
These Terms shall be governed by the laws of Uganda.
Any disputes arising under these Terms shall be resolved exclusively in the courts located in Kampala.
